Heijs Food Products B.V. Sales Terms & Conditions

1. These terms and conditions apply to all our offers, agreements and their implementation. Exceptions must must be agreed with us in writing. The Terms and Conditions of the other party will expressly be rejected. 2. All offers are without open-ended, unless we indicate a specific validity period in writing. 3. Agreed delivery times are adhered to as much as possible, but they can not be regarded as a deadline, unless expressly agreed. Exceeding the time reserves no right to compensation or cancellation. We are at all times entitled to fulfill the Agreement in parts. 4. All quotations are made subject to price changes. In case of the introduction or increase of duties/taxes, modification of any refund(s) or other cost price factors, we have the right to increase the order price accordingly. The other party is obliged to provide their data, documents and/or other supporting proof regarding the delivered goods to us at all times. If the delivery is agreed outside of the company, the risk of the delivered goods falls on the other party as soon as the goods leave the company or warehouse. 5. In case of force majeure, we are entitled, without judicial intervention, to suspend our obligations or to dissolve the Agreement wholly or partly. The other party can not be entitled to compensation in this case. Force majeure means circumstances in which fulfillment of our commitment cannot reasonably be expected. The following are examples of this: strikes, transport difficulties, fire, Government regulations as well as a lack of supplies from our suppliers. 6. If we supply with deviations in quality and/or weight in accordance with the normal poultry trade tolerance, we consider the Agreement to be fulfilled properly. 7. We must be informed of complaints no later than 24 hours after delivery and subsequently they must be confirmed with proof to us in writing. They do not exempt the other party from the agreed payment. Returns can only be made with our prior written consent. Complaints about invoices must be submitted in writing within 8 days of the sending date. We are not liable for direct or indirect damage caused by goods supplied by us. Our liability is limited to the maximum invoice value of the goods supplied at all times. 8. All goods delivered remain our property the other party pays the entire amount owed to us, including interest and costs. Before that full payment has been made, the goods can be sold or used by the other party in the course of its normal business, however it may not be pledged or given as security for a third party claim. The other party is obliged to settle all our claims for payment for all products in which the goods supplied by us which have not been paid or not fully paid that have been processed and in the case of resale of our goods. The other party’s contract and our subsequent order confirmation shall be construed as a private agreement as referred to by Law. 9. Payments must be made within 14 days of the invoice date. Failure to do this will require an interest payment of 1% per (part of) a month calculated on the outstanding amount. In case of non or late payment the Agreement may be terminated by us without notice of default or judicial intervention. Judicial and extra judicial collection costs shall be borne by the other party. Payments shall be made without any deduction or setting off debts. 10. If the other party fails to fulfill its obligations, becomes bankrupt, goes into administration, (temporary) suspension or their property is seized, then we have the right to suspend all our obligations to the other party and to dissolve all Agreements with the other party, without any notice of default or judicial intervention being required, whilst retaining the right to full compensation in whole or in part. 11. In case of an order cancellation, the other party must pay a compensation of 25% of the agreed price. 12. The Dutch law will apply on all Agreements on which Heijs Food Products B.V. is the vendor. All disputes arising from these Agreements shall be settled by the competent court within the area where Heijs Food Products B.V. is based. Leek, 01-01-1995
